Compensation and Remuneration Committee
Pashtany Bank has Compensation and Remuneration Committee as an integral part of its governance structure and organization to oversee the compensation system’s design and operation on behalf of the Board of Supervisors. The Board of Supervisors actively oversees the compensation system’s design and operation. The compensation system is primarily controlled by the Board of Management. The compensation or remuneration Committee consists of three members including the chairman of the Board of Supervisors, an independent member of the Board of Supervisors, and a dependent member of the Board of Supervisors if one exists.
Role and Responsibilities of the Committee
- constituted in way that it exercises competent and independent judgment on compensation policies and practices and incentives.
- Demonstrate that its decisions are consistent with an assessment of the bank’s financial conditions and future prospects.
- Work closely with the bank’s Risk Committee in the evaluation of the incentives created by the compensation system.
- Ensure that the bank’s compensation policy complies with the guidance of the Basel committee.
- Ensure that compensation policy is reviewed, if appropriate externally commissioned, and is conducted independently of management.
For employees in the risk and compliance function:
- Remuneration should be determined independently of other business areas and be adequate to attract qualified and experienced staff.
- Performance measures should be based principally on the achievement of the objectives of their functions.
The Committee meets once a year and an annual report on compensation disclosed to the public on a timely basis.
Compensation and Remuneration Committee Members:
Mr. Wadir Safi (Chairman):
Mr. Wadir Safi was born on December 25, 1948, in Afghanistan. He has wide experience and excellent background of quality leadership, political and as well as in the field of a lectureship in different national and international educational institutions and universities. Mr. Safi is currently the Chairman of the Board of Director since 2018. Besides being a chairman to the Board of Supervisors, Mr. Wadir Safi is serving its services as a Lecturer, member the Public Law and Head of International Relation and a Senior Legal Officer for the Kabul University of Afghanistan. Mr. Wadir Safi holding a Ph.D. degree in International Laws and Politics, MA in International Relation from the Charles University, Prague Czechoslovakia, earned B.A Journalism from Faculty of Literature and Human Science – Kabul University Afghanistan.
Mr. Jannullah Zahir (Member):
Mr. Jannullah Zahir was born on April 02, 1986, in Khogyani district Jalalabad- Afghanistan. He has ten years of rich banking experience in central bank of Afghanistan (Da Afghanistan Bank) and commercial bank as senior auditor and finance Manager in Zadran Groups of Companies with an excellent background of economics and Political Science studies.
Besides being the member to the Board of Supervisors of PB, Mr. Zahir also work as Chief Finance Officer (CFO) in Irfan Zahir Groups of companies. Mr. Jannullah Zahir is holding a M.A degree in Economics from Osmania University-India, B.A in economics from the Kabul University, B.A in Political Science and Public Administration from American University of Afghanistan and he is Certified Expert in Financial inclusion from Frankfurt School of Business and finance-Germany.
Ms. Farida Qadiri (Committee Member):
Ms. Farida Qadiri was born on 1356, in Afghanistan. She has bachelor degree from Kabul university. Ms. Farida Qadiri is currently the member of the board of supervisor since 1398. Besides being a member to the board of supervisors she is the lecturer and the academic member of the faculty of law.
